LLC Broker Enterprise Partner Disclaimer Notice

LEGAL NOTICE: PRE-APPLICATION TERMS & CONDITIONS OF SPONSORSHIPWARNING: READ BEFORE SUBMITTING. THESE TERMS LIMIT YOUR RIGHTS AND OUR LIABILITY.
By submitting an application for LLC or Corporate Broker Sponsorship to Texas Broker Sponsor ("Company") and its Designated Broker ("Broker"), you ("Applicant") expressly acknowledge and agree to the following binding terms:
1. NO AUTOMATIC SPONSORSHIP OR IMPLIED CONTRACT Submission of this application and payment of any fees DOES NOT constitute an offer of sponsorship, nor does it create a broker-agent relationship.
  • No agency, partnership, or sponsorship agreement exists until a written Independent Contractor Agreement is fully executed by the Designated Broker.
  • The Designated Broker and Texas Broker Sponsor's Chief Compliance Officer, et al, reserves the absolute right to reject any application for any reason in their sole and absolute discretion.
2. NON-REFUNDABLE APPLICATION & AUDIT FEES All upfront fees paid at the time of submission (including "Setup Fees," "Initiation Fees," and "Audit Fees") are deemed fully earned upon receipt to cover the administrative labor of processing your background check, auditing your entity documents, and verifying your eligibility.
  • IF YOU ARE DENIED: These fees are non-refundable.
  • IF YOU WITHDRAW: These fees are non-refundable.
  • IF TREC DENIES YOUR LLC: These fees are non-refundable.
3. STRICT PROHIBITION ON "PRE-MATURE" ACTIVITY (The "Realm" Clause) Applicant explicitly agrees that they shall NOT utilize the TREC Realm portal to:
  • Add the Designated Broker to their entity; OR
  • Sponsor any sales agents under their entity; UNTIL they have received an official "Clear to Close" email from Texas Broker Sponsor. VIOLATION WARNING: Attempting to sponsor agents or conduct business before final written approval is a violation of TREC rules and will result in the immediate forfeiture of your application and a permanent ban from our program.
4. COMPREHENSIVE BACKGROUND INVESTIGATION Applicant authorizes Broker to conduct a full forensic investigation into:
  • A. The status and complaint history of Applicant’s Real Estate License.
  • B. Any pending or past civil lawsuits, judgments, or liens.
  • C. Criminal history, including felonies, misdemeanors, or crimes of moral turpitude.
  • D. Financial stability, including bankruptcy proceedings (voluntary or involuntary).
  • E. Trust account management history.
  • Any misrepresentation or omission of material fact in your application constitutes fraud and will result in immediate denial without refund.
5. INDEMNIFICATION OF DESIGNATED BROKER Applicant agrees to INDEMNIFY, DEFEND, AND HOLD HARMLESS Texas Broker Sponsor and the Designated Broker from any liability, damages, or claims arising from:
  • The rejection of this application.
  • Delays in TREC processing or the inability to obtain an LLC Broker License.
  • Any unauthorized brokerage activity conducted by Applicant prior to full execution of the Sponsorship Agreement and/or a Broker and Owner/Operator of the entities Independent Contractor Agreement. 
6. INDEPENDENT BUSINESS JUDGMENT Applicant acknowledges that they have conducted their own due diligence regarding the Texas Broker Sponsor program and fully understand they are agreeing to follow.
  • No Income Guarantee: Broker makes no representations or warranties regarding potential income, profitability, or success.
  • No Legal Advice: Broker is not providing legal or tax advice regarding the formation of your LLC.
7. REGULATORY INDEPENDENCE While this program is designed to comply with the Texas Real Estate License Act (TRELA), Texas Broker Sponsor is a private consultancy and is NOT affiliated with, nor endorsed by, the Texas Real Estate Commission (TREC).
I HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS PRIOR TO SUBMITTING MY APPLICATION.
